Vuker is a smart booking platform designed to connect clients with verified service providers offering legitimate and professional services, simplifying the entire booking experience from discovery to confirmation.
Vuker may provide access to service categories including, but not limited to: Creatives and Events, and General Services.
Vuker's core principle
Vuker is built to make booking services easier, faster, and more reliable by connecting clients with the right and verified service providers.
Vuker's objective
Vuker's objective is to make finding and booking services more convenient, organized, accessible, and efficient.
Definition of terms
- Vuker — Means the Vuker platform, its owners, operators, affiliates, employees, representatives, technology, website, mobile application, and related services.
- Client — Means an individual, organization, business, or other entity that uses Vuker to search for, request, schedule, or purchase services.
- Service Provider — Means an individual, professional, freelancer, business, organization, or other entity offering services through Vuker.
- Booking — Means a request or confirmed arrangement between a Client and Service Provider for the provision of a particular service at an agreed date, time, location, and price or pricing arrangement.
- Deposit — Means an amount paid by a Client to reserve or secure a Service Provider's availability for a Booking.
- Service Fee — Means the amount charged by the Service Provider for the service.
- Booking Fee — Means any fee charged by Vuker for the use of its booking or platform services, where applicable.
- Platform — Means the technological systems operated or made available by Vuker, including its website, mobile application, booking tools, payment interfaces, communication features, and related systems.
Role of Vuker
- Vuker as a Booking Platform — Vuker operates primarily as a platform that facilitates connections between Clients and Service Providers.
- Vuker does not directly provide the professional or other services listed by Service Providers.
- The Service Provider remains responsible for the actual performance, quality, safety, legality, and completion of the service.
- No Guarantee of Service Outcome — Vuker may take reasonable measures to provide a reliable platform and may implement provider verification or review systems. However, Vuker does not guarantee:
- The availability of a particular Service Provider;
- The quality of every service;
- The accuracy of every provider statement;
- A particular result or outcome;
- The qualifications of a provider unless specifically identified as verified;
- That a Client will be satisfied with a service; or
- That a Service Provider will accept every booking request.
Independent Service Providers
- Service Providers may operate independently from Vuker.
- The appearance of a Service Provider on Vuker does not necessarily mean that Vuker is the employer, partner, agent, representative, or legal representative of that Service Provider.
- Nothing in these Terms automatically creates an employment, partnership, joint venture, franchise, or agency relationship between Vuker and a Service Provider.
Client responsibilities
- Clients agree to provide accurate, current, and complete information necessary to create an account and complete a Booking.
- Clients must not impersonate another person or provide false information.
- Clients are responsible for maintaining the confidentiality of their login credentials and for activities conducted through their account.
- A Client should immediately notify Vuker if they suspect unauthorized access to their account.
- Before confirming a Booking, the Client should carefully review the following:
- Service description;
- Service Provider;
- Date and time;
- Location;
- Service price;
- Deposit requirements;
- Cancellation policy;
- Refund policy;
- Additional charges; and
- Other applicable Booking conditions.
- Once a Booking is confirmed, the Client may be bound by the terms applicable to that Booking.
Service Provider responsibilities
- Service Providers must provide accurate and current information regarding their:
- Identity;
- Business name;
- Professional qualifications, where applicable;
- Licenses and certifications, where applicable;
- Services;
- Prices;
- Availability;
- Location;
- Experience;
- Service limitations; and
- Other information presented to Clients.
- Service Providers must not intentionally provide misleading, fraudulent, or deceptive information.
- Service Providers agree to provide services in a professional, competent, lawful, and reasonably timely manner.
- The Service Provider shall be primarily responsible for the actual service provided to the Client.
- Where a service requires a professional license, accreditation, permit, registration, certification, or other legal authorization, the Service Provider is responsible for obtaining and maintaining the necessary authorization. Vuker may request documentary evidence of such authorization where appropriate.
- Vuker may implement different levels of provider verification, like basic profile, identity verified, business verified, and professional verification. However, a verification badge does not constitute an unconditional guarantee of a provider's future conduct, service quality, or legal compliance.
Payments, deposits and fees
- The Service Provider determines the applicable service fee.
- The Client agrees to pay the applicable amount displayed or agreed upon before the service is performed.
- A Service Provider may require a deposit to secure a Booking.
- The deposit amount, payment deadline, and refundability should be clearly disclosed before the Client confirms the Booking. A deposit may be:
- Fully refundable;
- Partially refundable;
- Non-refundable; or
- Refundable subject to specific cancellation conditions.
- The applicable rule shall be the policy disclosed to the Client at the time of Booking, subject to applicable law.
- Vuker may charge Clients, Service Providers, or both a platform, booking, transaction, subscription, or other service fee.
- Any applicable Vuker fee should be disclosed before the relevant transaction is completed.
- Vuker may change its fees by providing appropriate notice.
- Each party is responsible for taxes applicable to its own activities, income, services, or transactions as required by law.
- Where Vuker facilitates payment through the Platform, payments may be processed through third-party payment processors.
- Clients agree to comply with applicable payment-provider requirements.
- Vuker may not control the policies, availability, or technical operation of third-party payment systems.
- If a payment fails, is reversed, disputed, charged back, or otherwise becomes invalid, Vuker may:
- Cancel or suspend the relevant Booking;
- Request replacement payment;
- Restrict the Client's account;
- Recover amounts owed; or
- Take other reasonable action permitted by law.
Cancellation, rescheduling and refunds
Client cancellation
- Clients may cancel a Booking subject to the cancellation policy applicable to that Booking.
- The Client should review the cancellation policy before confirming the Booking.
Service Provider cancellation
- A Service Provider should honor a confirmed Booking unless cancellation is reasonably necessary due to circumstances permitted under the applicable Booking terms or circumstances beyond the provider's reasonable control.
- Repeated unjustified cancellations may result in:
- Warning;
- Reduced platform visibility;
- Temporary suspension;
- Cancellation of privileges;
- Removal from Vuker; or
- Other appropriate action.
Refund eligibility depends on:
- The Booking's cancellation policy;
- Timing of cancellation;
- Deposit amount already paid;
- Applicable platform or transaction fees;
- Circumstances surrounding the cancellation; and
- Applicable laws and regulations.
Vuker will not automatically guarantee a refund unless the applicable Booking terms or law provides for one.
Note: Full payment should be paid by the Client to the Service Provider on the day of the booked or scheduled event or activity.
Rescheduling
- Where permitted, a Client and Service Provider may mutually agree to reschedule a Booking.
- Any changes should be documented through Vuker's platform where possible.
- Additional charges resulting from rescheduling should be disclosed before the change is confirmed.
No-show
- A Client who fails to attend or make themselves reasonably available for a confirmed Booking may be considered a "No-Show," subject to the applicable Booking policy.
- A Service Provider who fails to appear for a confirmed Booking without reasonable justification may likewise be subject to review.
Disputes between Clients and Service Providers
Direct resolution
Clients and Service Providers should first attempt to resolve disputes directly and in good faith. Examples include disputes involving:
- Service quality;
- Payment;
- Scope of work;
- Cancellation;
- Scheduling;
- No-show;
- Property damage;
- Miscommunication; or
- Failure to perform.
Vuker assistance
Vuker may, at its discretion, assist in facilitating communication or reviewing Booking records. Vuker may request the following:
- Messages;
- Receipts;
- Payment records;
- Booking information;
- Photos;
- Documents;
- Service descriptions; or
- Other relevant evidence.
Vuker is not automatically the adjudicator
- Vuker's review of a dispute does not necessarily mean that Vuker becomes a party to the underlying Client-Service Provider agreement.
- Where appropriate, Vuker may take platform-related action even when the underlying dispute remains unresolved.
Reviews and ratings
Client reviews
Clients may be allowed to submit reviews and ratings based on their genuine experience with a Service Provider. Reviews should be:
- Honest;
- Relevant;
- Based on actual experience;
- Respectful; and
- Free from threats, harassment, discrimination, or unlawful content.
Prohibited reviews
Users must not:
- Create fake reviews;
- Pay or offer incentives for misleading reviews;
- Post reviews for services they did not use;
- Threaten someone to obtain a favourable review;
- Manipulate ratings;
- Post confidential personal information; or
- Use reviews to harass another person.
Review moderation
- Vuker may remove, restrict, or moderate reviews that violate these Terms or applicable law.
- Vuker may also restrict accounts involved in review manipulation.
Prohibited activities
Users must not use Vuker to:
- Commit fraud;
- Impersonate another person;
- Provide false identity information;
- Offer illegal services;
- Facilitate criminal activities;
- Harass or threaten another user;
- Discriminate unlawfully;
- Upload malicious software;
- Attempt to gain unauthorized access to Vuker's systems;
- Scrape or improperly collect user information;
- Circumvent Vuker's payment or booking system for prohibited purposes;
- Manipulate reviews or ratings;
- Use Vuker for spam or unauthorized advertising;
- Misuse another person's personal information; or
- Engage in any activity that violates applicable law.
Vuker may immediately restrict or suspend accounts reasonably suspected of engaging in prohibited activities.
Account suspension and termination
- Vuker may temporarily suspend an account where there is reasonable basis to believe that the user:
- Violated these Terms;
- Provided false information;
- Engaged in fraudulent activity;
- Threatened or harmed another user;
- Misused the Platform;
- Created a security risk; or
- Violated applicable laws or regulations.
- Vuker may terminate an account for serious or repeated violations of these Terms.
- A terminated user may not create another account to circumvent the termination without Vuker's permission.
- Termination does not automatically eliminate financial obligations or other rights and responsibilities that arose before termination.
- Provisions concerning payments, confidentiality, privacy, intellectual property, liability, disputes, and other provisions intended to survive termination shall continue to apply where appropriate.
Data privacy
- Vuker recognizes the importance of protecting the personal information of Clients and Service Providers.
- Vuker shall process personal information in accordance with applicable Philippine data privacy laws and regulations, including the Data Privacy Act of 2012 (Republic Act No. 10173) and its implementing rules and regulations, as applicable.
- The Data Privacy Act establishes principles including transparency, legitimate purpose, and proportionality, and provides data subjects with rights concerning their personal information.
- Depending on the services used, Vuker may collect information such as:
- Name;
- Contact details;
- Account information;
- Profile information;
- Booking information;
- Payment-related information;
- Service preferences;
- Communications;
- Reviews and ratings;
- Identification or verification information where necessary; and
- Other information reasonably necessary to provide Vuker's services.
- Personal information may be processed for legitimate purposes including:
- Account creation;
- Identity or provider verification;
- Booking management;
- Communication;
- Payment processing;
- Customer support;
- Fraud prevention;
- Platform security;
- Dispute resolution;
- Service improvement;
- Compliance with legal obligations; and
- Other purposes disclosed to the data subject.
Data sharing
- Vuker may disclose relevant personal information to a Client or Service Provider when reasonably necessary to facilitate a Booking.
- Only information reasonably necessary for the relevant purpose should be disclosed.
- Where required by law, Vuker shall obtain appropriate consent or rely on another lawful basis for processing.
User responsibility for personal information
- Clients and Service Providers must not misuse, sell, publicly disclose, or unlawfully distribute another person's personal information obtained through Vuker.
- Information obtained through Vuker should be used only for legitimate purposes related to the Booking or other lawful purposes.
Security
Vuker shall implement reasonable and appropriate organizational, physical, and technical measures intended to protect personal information against unauthorized access, disclosure, alteration, loss, destruction, or other unlawful processing.
Data retention
- Vuker may retain personal information for as long as reasonably necessary for the purposes for which it was collected, legitimate business purposes, dispute resolution, security, legal claims, and compliance with applicable laws.
- The Data Privacy Act provides that personal information should not be retained longer than necessary for the applicable legitimate purposes, subject to legal and other recognized exceptions.
Intellectual property
Vuker intellectual property
- Unless otherwise indicated, the Vuker name, logo, branding, software, platform design, graphics, text, interfaces, and other Vuker-created materials are owned by or licensed to Vuker.
- Users may not copy, modify, reproduce, distribute, sell, reverse engineer, or commercially exploit Vuker's intellectual property without authorization.
User content
- Users may submit photographs, videos, descriptions, reviews, logos, portfolios, service information, and other materials to Vuker.
- The user remains responsible for ensuring that they have the necessary rights to submit such content.
- By submitting content, the user grants Vuker a non-exclusive right to host, display, reproduce, format, and use the content as reasonably necessary to operate, promote, and improve the Platform, subject to applicable privacy rights and the user's ownership rights.
Communications
Platform communications
Vuker may send communications relating to:
- Account activity;
- Booking confirmations;
- Booking reminders;
- Payment notifications;
- Cancellation notices;
- Security alerts;
- Service updates;
- Policy changes; and
- Customer support.
Marketing communications
- Where applicable and subject to law, users may receive promotional communications from Vuker.
- Users should be provided with appropriate options to manage marketing communications.
- Operational and transaction-related communications may continue to be sent when necessary to provide the requested service.
Platform availability
Service availability
Vuker aims to maintain reliable Platform availability but does not guarantee uninterrupted or error-free operation. The Platform may occasionally become unavailable because of:
- Maintenance;
- Software updates;
- Security incidents;
- Internet disruptions;
- Third-party service interruptions;
- System failures;
- Natural disasters; or
- Other circumstances beyond Vuker's reasonable control.
Third-party services
Third-party providers
Vuker may use third-party providers for services such as:
- Payment processing;
- Cloud hosting;
- Mapping;
- Authentication;
- Messaging;
- Analytics;
- Notifications; and
- Other technical functions.
Use of such services may be subject to the third party's applicable terms and privacy policies.
Limitation of liability
Platform role
- To the extent permitted by law, Vuker shall not be responsible for the independent acts, omissions, representations, qualifications, conduct, or service performance of a Service Provider.
- Similarly, Vuker shall not be responsible for a Client's failure to comply with the Client's obligations.
Service Provider responsibility
The Service Provider remains responsible for:
- The service provided;
- Professional performance;
- Required licenses and permits;
- Safety;
- Compliance with applicable laws;
- Accuracy of service information; and
- Obligations owed directly to the Client.
No exclusion of mandatory rights
Nothing in these Terms is intended to exclude or limit liability or consumer rights that cannot legally be excluded or limited under applicable law.
Indemnification
User responsibility
To the extent permitted by law, a user may be responsible for claims, losses, damages, liabilities, costs, or expenses arising from:
- Violation of these Terms;
- Fraudulent conduct;
- Misuse of the Platform;
- Violation of another person's rights;
- Unauthorized use of personal information; or
- Illegal activities conducted through the Platform.
This provision shall not apply to the extent that the claim resulted from Vuker's own unlawful conduct or liability that cannot legally be transferred to the user.
Force majeure
Events beyond reasonable control
Vuker, Clients, and Service Providers shall not be considered in breach solely because performance is prevented or materially affected by circumstances beyond reasonable control, including:
- Typhoons;
- Floods;
- Earthquakes;
- Fire;
- Government restrictions;
- Public emergencies;
- War;
- Civil disturbances;
- Major telecommunications failures;
- Power failures;
- Cybersecurity incidents; or
- Other comparable events.
The affected parties should make reasonable efforts to minimize disruption and, where possible, reschedule the affected Booking.
Dispute resolution
Good-faith resolution
Before commencing formal legal proceedings, the parties should make reasonable efforts to resolve disputes through good-faith communication.
Applicable law
These Terms shall be governed by the applicable laws of the Republic of the Philippines, unless another law is mandatorily applicable.
Legal rights
Nothing in these Terms prevents a Client, Service Provider, or other user from exercising rights or remedies available under applicable Philippine law.
Changes to these Terms
Updates
Vuker may modify these Terms from time to time to reflect:
- Changes in the Platform;
- New features;
- Changes in business practices;
- Security requirements;
- Legal or regulatory developments; or
- Other legitimate business needs.
Material changes should be communicated through reasonable means. Continued use of Vuker after the effective date of updated Terms may constitute acceptance of the updated Terms to the extent permitted by law.
Electronic acceptance
Electronic agreement
By clicking "I Agree," "Accept," "Confirm Booking," or an equivalent button, checkbox, or electronic mechanism, or by otherwise using Vuker after being presented with these Terms, the user acknowledges and agrees to be bound by these Terms to the extent permitted by applicable law.
Vuker may maintain electronic records of acceptance, bookings, transactions, communications, and other relevant activities.
Philippine law recognizes electronic commercial and non-commercial transactions under the Electronic Commerce Act (RA 8792).
Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue to the extent permitted by law.
Entire agreement
These Terms, together with the applicable Booking details, Privacy Policy, Cancellation and Refund Policy, and other policies expressly incorporated into the Platform, constitute the agreement governing use of Vuker.
Where a specific Booking contains additional terms, those terms shall apply to that Booking provided they do not conflict with applicable law or these Terms.
Client acknowledgment
By using Vuker and confirming a Booking, I acknowledge that:
- I have read and understood the Vuker Terms & Conditions.
- I understand that Vuker is primarily a booking platform connecting Clients and Service Providers.
- I understand that the Service Provider is responsible for delivering the booked service.
- I have reviewed the service description, price, date, time, and applicable Booking conditions.
- I understand the applicable payment, deposit, cancellation, and refund policy.
- I agree to provide accurate information.
- I agree to respect the privacy and personal information of other users.
- I agree to use Vuker only for lawful and legitimate purposes.
Service Provider acknowledgment
By registering as a Service Provider on Vuker, I acknowledge that:
- I will provide accurate information about myself, my business, and my services.
- I will maintain accurate availability and pricing information.
- I will comply with applicable professional licensing, registration, permit, and regulatory requirements.
- I will honor confirmed Bookings subject to legitimate cancellation circumstances.
- I will provide services professionally and in accordance with applicable laws.
- I will protect Client information obtained through Vuker.
- I will not use Vuker to facilitate unlawful activities.
- I understand that Vuker may review, suspend, restrict, or terminate my account for violations of its policies.
